These Terms & Conditions (“Terms”) govern the provision of fulfilment, storage, and related logistics services by Vox Fulfilment Ltd (“we”, “our”, “us”) to you (“Client”, “you”, “your”). By engaging our services, you agree to these Terms in full.
1. Services
We provide professional fulfilment, warehousing, packing, shipping, and related logistics services as agreed in writing. Specific details such as pricing, service levels, and handling procedures will be defined in your Service Agreement or onboarding documentation.
2. Pricing & Payment
All prices are quoted in GBP (£) and exclude VAT, unless otherwise stated.
Payment terms are 14 days from the invoice date, unless agreed otherwise.
Invoices will be issued monthly or as mutually agreed.
Late payments may incur interest at 8% above the Bank of England base rate, plus reasonable debt recovery costs.
3. Non-Payment Consequences
If payment is overdue by more than 30 days, we may suspend services, including order fulfilment and dispatch.
If payment remains overdue by more than 60 days, we reserve the right to:
Retain your stock in our warehouse as a lien against unpaid fees.
Dispose of, sell, or auction goods to recover outstanding amounts after providing 14 days’ written notice.
4. Client Responsibilities
You agree to:
Provide accurate and complete product, order, and shipping information.
Ensure your products comply with all applicable UK laws and safety standards.
Maintain appropriate insurance coverage for your goods (unless otherwise agreed).
Notify us promptly of any changes in your business, contact details, or product requirements.
5. Liability
We take reasonable care in handling, storing, and dispatching your goods.
Our liability for loss or damage is limited to £100 per consignment, unless otherwise agreed in writing.
We are not liable for indirect or consequential losses, loss of profits, or delays caused by events beyond our reasonable control (e.g., courier delays, weather, strikes, or system outages).
6. Termination
Either party may terminate the agreement with 30 days’ written notice.
We may terminate immediately if you breach these Terms or become insolvent.
Upon termination, all outstanding fees must be settled before goods are released.
7. Confidentiality
Both parties agree to keep all business, operational, and client information strictly confidential, unless disclosure is required by law or regulatory authority.
8. Data Protection
We handle personal data in accordance with UK GDPR and our Privacy Policy. By using our services, you acknowledge and agree to our data handling practices as described in that policy.
9. Governing Law
These Terms are governed by and interpreted under the laws of England & Wales. All disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
